RESTRUCTURING OF LESOTHO ELECTRICITY CORPORATION THROUGH THE PUBLIC SERVICE CONCESSION APPROACH

1. The Government of Lesotho approved the new strategy of restructuring the Lesotho Electricity Corporation based on the “Public Service Concession” model in May 2003. A detailed draft Privatisation Scheme based on this approach is in the final stages of preparation before submission for Cabinet consideration.

2. The Public Service Concession approach involves setting up a successor company to LEC, LEC (Pty) Ltd, and vesting all existing assets of LEC and all transmission assets currently owned by LHDA in the new company. Initially, 100% of LEC (PTY) Ltd shares will be held by the Government of Lesotho. Subsequently the LEC (Pty) Ltd shareholding will be divested as follows:

 Sale of majority shares to a Concessionaire Strategic Utility Investor for a term of 15 to 20 years at the end of which the shares will be returned to the Government and re-bid through a competitive tender;

 The remaining shares to be retained by the Government or sold to LEC (Pty) Ltd employees and local investors.

3. The approval of the “Public Service Concession” strategy follows the Lesotho Utilities Sector Reform Project Supervisory mission from the World Bank that visited Lesotho in March 2003 in which it was agreed by both the Government of Lesotho and the mission that the “Public Service Concession” approach would be the most appropriate way to meet Government’s social and economic development’s targets. In addition, this approach would give Basotho additional comfort that they can maintain reasonable control of the country’s strategic electricity assets through a concessioning and re-bidding process.


4. LEC (Pty) will be granted an exclusive permanent concession licence to construct, expand, modify, maintain and operate the entire transmission and distribution system in a well defined territory and an obligation to retail electricity to consumers in the service territory.
5. The performance of LEC (PTY) Ltd shall be monitored by the newly established Lesotho Electricity Authority through predetermined performance indicators which include investment programme commitments; incremental number of connections; conformance with expansion plans and quality of service parameters.

6. In parallel with the restructuring of LEC, the Government will give priority to the implementation of rural electrification through development of a long term National Rural Electrification Programme financed through the National Rural Electrification Fund. Discussions to establish the Fund are already in progress by relevant stakeholders.
